Terms of Service — Trees.cloud

1. Agreement to Terms

Plain-language summary: By creating an account, subscribing, accessing the API, or otherwise using Trees.cloud, you agree to these legally binding Terms of Service ("Terms"). If you do not agree, do not use the Service.

3. License Grant

JPTR grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and internally use the Service and Data solely for lawful, personal, or internal business analytics in accordance with these Terms and your subscription plan.

4. Intellectual Property

All right, title, and interest in and to the Service, Data, software code, visual interfaces, and JPTR trademarks are and will remain the exclusive property of JPTR. No rights are granted except as expressly stated.

5. Use Restrictions

You shall NOT:

1. Scrape, bulk-download, spider, or otherwise harvest Data outside the provided API or UI.
2. Resell, sublicense, redistribute, display publicly, or publish any Data.
3. Use Data to train AI/ML models, create derivative databases, or seed competing products.
4. Reverse-engineer, decompile, or attempt to extract source code of any software part of the Service.
5. Interfere with security or access controls, or attempt to exceed authorized API limits.
6. Use the Service in violation of any applicable law or regulations.

6. API Terms

• Rate Limits — As published in your plan documentation; automatic throttling applies.
• Authentication — Keep API keys confidential; you are responsible for all activity under your credentials.
• Monitoring & Enforcement — JPTR may monitor usage and suspend or terminate access for abuse without notice.

7. Subscription & Fees

• Billing cycles are monthly or annual as selected at checkout.
• Fees are due in advance; late payments may incur 1.5 % monthly interest.
• JPTR may change prices with 30 days' email notice; continued use after the notice period equals acceptance.
• Taxes, duties, and governmental fees are your responsibility.

8. Termination

Either party may terminate:

• For convenience — with 30 days' written notice (no refund for prepaid periods).
• For cause — immediately if the other party materially breaches these Terms (including any Use Restriction).

Upon termination or expiration: (a) your license ends; (b) you must delete all Data obtained through the Service; (c) Sections 4, 8, 9, 10, 11, 12, 13, 15 survive.

9. Disclaimers

THE SERVICE AND DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE." JPTR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. Applicable laws and regulations may vary by jurisdiction; you are solely responsible for ensuring your compliance. Nothing herein constitutes medical, legal, or financial advice.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, JPTR'S TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE FEES PAID BY YOU TO JPTR IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. JPTR WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY.

11. Indemnification

You agree to defend, indemnify, and hold harmless JPTR, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your misuse of the Service or Data; (b) breach of these Terms; (c) violation of applicable law; or (d) User Content infringing any third-party rights.

12. Governing Law & Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Exclusive venue for any permitted court action lies in the state or federal courts located in Los Angeles County, California. You consent to personal jurisdiction therein.

13. Arbitration & Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY – it affects your rights.

• ALL DISPUTES between you and JPTR shall be resolved through BINDING ARBITRATION administered by JAMS under its Streamlined Rules.
• NO CLASS ACTIONS – you may only resolve disputes with JPTR on an individual basis and may not as a plaintiff/class member in any purported class action.
• OPT-OUT RIGHT — Email legal@trees.cloud with subject "Arbitration Opt-Out" within 30 days of first accepting these Terms to opt out of arbitration.

14. Modifications to Terms

JPTR may modify these Terms at any time by posting the revised version on the Service. Your continued use after the effective date will constitute acceptance of the modified Terms. For material changes, JPTR will provide reasonable notice via email or in-product notification.

15. Entire Agreement & Severability

These Terms, the Privacy Policy, and any order forms constitute the entire agreement between you and JPTR. If any provision is found invalid by a court, that provision will be limited or eliminated to the minimum extent necessary, and the remaining terms will continue in full effect.
